Terms of Service

Welcome to TeamWorker Platform! By accessing or using our platform, you agree to comply with these Terms of Service, the agreement between you and TeamWorker LLC, which incorporate the Privacy Policy and Community Guidelines. Please read these terms carefully. These terms govern the relationships between our Platform owned by TeamWorker LLC, a company registered in the United States of America (Company), and Users who can register on our Platform as Clients and Service Providers.

Definitions

Platform - online system, consisted of tools provided by the Company to facilitate project management, collaboration, communication, and integration between Clients and Service Providers.

User - any individual or legal entity registered on the Platform who interacts with the Platform's features or services.

Client - a User who submits project requests on the Platform and engages Service Providers to fulfill those requests.

Service Provider - a User who leverages the Platform to offer professional services, accept project requests from Clients, and deliver outcomes in accordance with agreed-upon terms defined in the Service Contract.

Hybrid User - a User who has undertaken more than one role on this Platform and can use the features created for both Clients and Service Providers.

Service Contract - an agreement, comprising of terms and conditions, project related matter and description of expected deliverables, submitted via Platform by the Client and accepted by the Service Provider. By submitting the relevant inputs through the Platform (such as the project description, budget, deadline, and other key details), the Client offers the terms of the Service Contract. By accepting the project invitation, the Service Provider agrees to these terms and enters into a binding Service Contract with the Client. This Service Contract facilitated by the Platform is between a Client and a Service Provider and defines the scope, deliverables, milestones, payment terms, and other conditions governing the completion of a project or task, and it is binding for both Client and Service Provider. The Client and Service Provider are free to sign additional confidentiality agreements, if necessary.

Team - a group of Service Providers automatically assembled by the Platform's algorithm based on the specific requirements of a project. Each team member contributes their expertise and skills to the successful execution of the project, and the team collectively manages the progress, updates, and completion of milestones of a specific project.

Milestone Feature - a tool on the Platform that allows Clients and Service Providers to define, track, and manage project stages, with payments transferred for each milestone delivery.

Platform Overview

TeamWorker is a project-enabling platform that connects Clients with Service Providers to facilitate the successful completion of tech projects. Our Platform matches Clients with the most suitable Service Providers based on the project's type, required knowledge and skills, budget, timeline, and other criteria (Criteria). Additionally, TeamWorker provides the tools and solutions for project execution and management.

Automatic Team Generation

If you have a tech project, which requires a team effort, you can provide the requirements via the Platform and receive several team option suggestions to select from. You do not need to have technical knowledge to find a suitable team for your project execution and delivery. Besides automatic team generation, the Company can also organize projects manually to ensure high-quality services by itself or with the help of third parties. This can be done at the Company's own judgment based on the Platform Criteria and the Client's requirements.

We aim to streamline the collaboration process, allowing projects to be efficiently assigned and completed by matching the right expertise with the right tasks.

1. Account Registration and General Terms

You must register for an account to have full access to our Services (“Account”). There are three types of Accounts that can be registered on our Platform:

  • Client. This type of an Account can be registered by a person or legal entity that submits a description of a tech project on the Platform. The Platform will suggest an individual or team of Service Providers to complete the task based on its type, budget, timeline, and other criteria.
  • Service Provider. This type of an Account can be registered by a person or legal entity that provides necessary professional information and credentials. Service Providers are assigned tasks by the Clients on the Platform, which makes recommendations to the Clients on the suggested most suitable Service Providers. Such recommendations are made based on algorithmic solutions or manual decisions on the Platform. Service Providers will provide necessary credentials upon registration and as requested, to enable the enhanced and accurate connection with the projects and Clients. Service Providers shall ensure efforts are invested for the successful completion of the projects at the reasonable industry standards.
  • Hybrid Account. This type of an Account allows a user to act as a Service Provider and a Client on the Platform.

Users can receive project requests as a Service Provider and simultaneously use the Platform to find other Service Providers to assist in executing those projects. All rights and obligations applicable to each role will apply to the Account based on the User’s role in a specific situation or project.

For the Account registration and use of the Platform services, you agree to provide accurate, complete, and updated information during registration. If you create an Account as an employee or agent on behalf of a company, you represent and warrant that you are legally authorized to do so and ready to submit the supporting documentation of your competence and authority upon the request of the Platform. You cannot allow others to create an Account for you, your use, or your benefit, except the above-mentioned.

You must register for an Account with a username and password which you shall keep secret at all times. You should immediately notify us about any unauthorized access to your account. Please note that to register for an account and use the Platform's services, you must meet the following general eligibility criteria:

  • Age Requirement: You must be at least 18 years old, or the age of majority in your country of residence if it is older than 18.
  • Legal Capacity: You must have the legal capacity to enter binding contracts, either on your own behalf or on behalf of a business or legal entity you represent.
  • Business Compliance: If you are using the Platform on behalf of a business or providing services through a business entity, you must comply with any applicable licensing, registration, or regulatory requirements relevant to your business or profession.
  • Legal Compliance: You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Platform.

By registering for an account, you represent and warrant that you meet all the above eligibility requirements. The Platform reserves the right to suspend or terminate any account that violates these conditions.

In case of legal entities, these entities are solely liable for the actions of their contractors, employees, and officers (Personnel) for their activities associated with the Platform and Services and are responsible for all matters related to payments to such Personnel.

In case of individual Users, the individual associated with the registered Account is solely responsible for all actions taken through that Account, without limitation.

We reserve the right, in our sole discretion, to refuse registration of any person or entity as a User.

Users may not transfer or assign any rights or obligations under this agreement without our prior written consent.

By registering an Account, you expressly acknowledge and agree that your profile will be visible and public on the Platform.

2. Services Provided

The Platform’s core service is to facilitate the connection between Clients and Service Providers, and implementation of tech projects, by utilizing an advanced algorithm to match Client projects with the most appropriate Service Providers based on the pre-set Criteria (Services). Specifically, the Platform enables the following Services:

  • Matching Clients and Service Providers: The platform uses a combination of AI tool(s) and a sophisticated proprietary algorithm to identify and assign the most suitable Service Providers for each Client’s project. Based on the Client’s project related inputs - such as type, budget, timeline, and required deliverables - the Platform analyzes the project and defines an optimal team structure. Based on corresponding parameters and Criteria, our Platform suggests Teams or individual Service Providers to the Clients. The Client can also modify the Team structure before accepting it. Once the Client accepts the structure of the Team, the invitation is sent to the Service Provider(s) to review and accept the offer. Please note that the establishment of contractual relationships between Users, including Clients and Service Providers, is solely at the discretion of the Users involved. The Platform does not interfere in these relationships and is not responsible for any agreements, disputes, or outcomes arising from them.
  • Project Delivery Facilitation:The Platform also provides services to facilitate the efficient delivery of tech projects between Clients and Service Providers. To support project management, the Platform includes a Milestone feature that allows users to define, track, and manage key stages of a project. This feature ensures clarity and accountability throughout the project delivery process

3. By using our Services, You agree that:

  • TeamWorker LLC retains ownership of all content it creates and provides, including designs, Service workflows, software, and documentation, while Users maintain ownership and responsibility for any content they upload or share. TeamWorker LLC is not responsible for ensuring the accuracy or legality of any content, which is uploaded by the Users (Clients, Service Providers) on the Platform (User Content). By using and uploading User Content on the Platform, the Users grant License to TeamWorker as defined below for the purpose of providing Services on the Platform. The Company does not monitor or validate User Content and is not liable for any issues arising from it, including but not limited to violations of intellectual property rights (e.g., trademark or copyright infringement), posting of false or defamatory statements, breaches of privacy laws, or the dissemination of illegal or harmful materials. You agree to ensure your User Content complies with all applicable laws and regulations and to indemnify the Company against any claims arising from such breaches. The Company also does not guarantee the quality of User Content and is not liable for claims arising from its use, including misinformation, dissatisfaction or reliance on such content;
  • TeamWorker is not responsible for performance of Services of Service Providers and does not guarantee any quality thereof. However, to help ensure the integrity of our platform, Users may be required to complete a KYC verification process before starting their first project. This process may include submitting a valid, government-issued photo ID via a secure email channel for identity confirmation. TeamWorker reserves the right to request additional verification as deemed necessary and to deny or suspend account access in case of non-compliance;
  • You are solely responsible for assessing the validity of any task, project, Client, or Service Provider and the opportunity to enter into a Service Contract with another User, which are directly between the Users. TeamWorker is not a party to any of those contracts. The disputes between the Users shall be resolved independently, which means without participation of TeamWorker;
  • You are responsible for paying your own taxes with respect to any payment received by you;
  • You shall not upload direct contacts on the Platform before concluding the Service Contract with another User. All the communication or negotiation between the Users on possible cooperation as well as during the actual project implementation shall be carried on the Platform;
  • You acknowledge and agree that the Company does not review, approve, attest or verify any of the Users’ credentials, licenses, permissions, or statements.

4. Ownership of Intellectual Property

  • Work for Hire: Any content or deliverables created by Service Providers for a Client shall be considered “work for hire,” and all intellectual property (IP) rights will automatically be transferred to the Client upon payment for this content or deliverables, unless otherwise agreed separately in writing and signed between the Client and the Service Provider.
  • License to Use: The Platform retains a limited, non-exclusive, world-wide, fully paid license to use all User Content and confidential information shared through the platform solely to provide services and improve platform functionality, as well as use your logo, trademark and tradename for marketing purposes, unless expressly withheld by you in writing.
  • DMCA Compliance: Reporting - Users can report copyright infringement on the Platform by submitting a DMCA notice to the designated agent at [email protected], including details of the copyrighted work, URL of the infringing material, and contact information.

    Counter-Notification - Users may file a counter-notification if their content is wrongly removed, including identification of the material, a good faith statement, and consent to jurisdiction.

    Repeat Infringers - Accounts of repeat infringers may be terminated under the Platform’s policy.

    Notice Publication: DMCA notifications and counter-notifications may be shared with involved parties for transparency.

5. Use of Responsible Artificial Intelligence

Users agree to use any AI-powered features, tools, or outputs provided through the Platform in a lawful, ethical, and responsible manner. The use of AI must align with the Platform's purpose and must not violate any applicable laws, infringe on the rights of others, or be used to produce, promote, or distribute harmful, deceptive, or discriminatory content. All Users must comply with our Community Guidelines when using AI-related services. The Platform reserves the right to review, restrict, or terminate access to the registered Account of any User who misuses the AI or violates these terms or the Community Guidelines.

6. Reporting Misconduct and Account Suspension

You are encouraged to report any misconduct or violations of these Terms of Service committed by other Users, including inappropriate behavior, abusive content, violations of the Community Guidelines, which are inseparable part of these Terms, or illegal activities, by contacting the Company through the email. Upon receiving a report, the Company reserves the right to investigate and take appropriate action, including but not limited to warning the User, restricting access, or permanently suspending the account in question. The Company retains complete andsole discretion to determine whether a violation has occurred and to determine the appropriate response, and Users acknowledge that such actions may be taken without prior notice. However, the Company is not obligated to act on all reports and does not guarantee resolution to the satisfaction of the reporting party. In any case, the Company retains complete and sole discretion to close, suspend or restrict the User’s Account without providing a reason.

7. Confidentiality

Any information shared by the Client with Service Providers in the context of a project is considered confidential. Service Providers agree to use such information solely for the purpose of completing the project and to maintain confidentiality at all times. The Clients may send their Confidentiality agreements to the selected Service Providers, and may decline proceeding with the project if they decline to sign and abide by it.

8. Payment and Fees For the Company Services

The Company charges a fee for its intermediary role between Clients and Service Providers, as applicable. The Clients agree to pay for the Services as described on the Platform, with the Company collecting applicable fees for Services rendered (Fees). The Fees are calculated based on the percentage stated in the Section 9 below. The Fees may be changed from time to time upon Company’s sole discretion. Such changes will be enforced by updating the Platform. In any case, the Users are solely responsible to review the Fees prior to using the Platform and abstain from using its Services in case of disagreement with the new Fees.

9. Project Implementation Authorization, Payments, and Procedure

  • Service Fee Transfer

    When a Client changes the status of a milestone from "Backlog" to "To Do",the Client is required to make a payment. Upon successful payment, the Milestone amount and the Platform Fee (15% of the Milestone amount) are transferred to TeamWorker's account. Once the Client changes the status of the Milestone from"Delivered" to "Confirmed", the Platform releases the corresponding service fee to the Service Provider's account, after deducting the Platform Fee from the amount transferred by the Client. At this point, the Milestone status is updated to "Paid".

  • Authorization for Payment Processing

    By using the Platform, Clients and Service Providers agree to designate and maintain a valid Payment Method. Clients authorize TeamWorker to charge their selected Payment Method for all Milestone payments. The Service Provider hereby irrevocably authorizes and instructs TeamWorker to deduct the applicable Platform Fee (15%) from each payment received from the Client before releasing the remaining balance to the Service Provider's account.

  • Exception for Inactive Clients

    If a Client makes a payment upon changing a milestone status from "Backlog" to "To Do", but then fails to maintain communication with the assigned Service Provider for a period of six (6) months and if the Service Provider has marked the milestone as "Delivered", TeamWorker reserves the right to release the payment to the Service Provider without further confirmation from the Client, after deducting the Platform Fee. This ensures fair compensation for completed work when a Client becomes inactive or unresponsive for an extended period.

  • Special Note For California Resident Users

    The aforementioned section on payment process via deposited amounts on TeamWorker account are not applicable for California resident Users. For such Users, the Payment process and method shall be as follows:

    The payments for the project implementation are made per completed Milestones. The Client transfers the payment to the Service Provider exclusively upon the acceptance of the Milestones by the Client and may proceed to the next Milestone only after paying for the previous one in full.

10. General Terms on Payments on the Platform

  • Payment currency:

    All transactions on the Platform are processed in U.S. Dollars (USD) unless otherwise explicitly stated. If a User's payment method or bank account is denominated in a currency other than USD, the final amount may be subject to currency conversion by the User's financial institution or payment provider. TeamWorker is not responsible for any exchange rate fluctuations, conversion fees, or additional charges that may be applied by banks, credit card companies, or third-party payment processors. Users are solely responsible for all costs associated with currency conversion.

  • Refunds and Chargebacks:

    All payments made through the Platform are non-refundable, unless otherwise expressly stated in writing by TeamWorker. By using the Platform, you acknowledge and agree that once a payment is made, no refunds or chargebacks will be permitted under any circumstances, and any initiated chargeback will be considered as a material breach of these terms. Unauthorized chargebacks may result in account suspension or termination and potential legal action. However, the Company acknowledges that there might be compelling cases at the sole discretion of the Company where you could receive a refund upon submitting a request with detailed explanation on reasons why such a refund must be granted.

  • Users are responsible for reviewing project details and deliverables before confirming payments. Any disputes regarding services must be resolved directly between the Client and the Service Provider, without involving payment reversals.

11. Limited Liability

  • The Platform is provided on an "as is" and "as available" basis. We make no guarantees regarding the completeness, accuracy, reliability, or availability of the Platform.
  • To the fullest extent permitted by law, the Platform, its owners, and operators shall not be held liable for any direct, indirect, incidental, or consequential damages arising out of your use or inability to use the Platform.

12. Indemnification

Users agree to indemnify and hold harmless the Company, its affiliates, and employees from any claims, damages, losses, or expenses arising out of their use of the Platform, including but not limited to disputes between users, violations of intellectual property or privacy rights, or issues related to User Content. This includes indemnification for any breach of these Terms of Service or applicable laws by the user. The Company reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification, at the user's expense.

13. Disclaimers

The Company disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Platform does not guarantee that the services will meet your requirements or that they will be uninterrupted, error-free, or secure.

14. Dispute Resolution

Any dispute arising out of or related to the Platform, including these Terms of Service, shall be resolved through binding arbitration in the United States of America, in accordance with the rules of JAMS Comprehensive Arbitration Rules and Procedures then in force when the Notice of Arbitration is submitted by a Party.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

16. Waiver

The failure of the platform to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17. Privacy Policy

To register on the Platform as any type of a User you may share with us personal information, login, and other details as requested. The Platform shall also collect your usage data and any other data that is required for the enhancement of the Services of the Platform. By registering on the Platform, you provide your explicit consent for us to use your information (including personal data) for the performance of our Services under these Terms, as well as research and improvement of the Services on the Platform. The Company collects and processes your information in accordance with the Privacy Policy.The Privacy Policy and the Community Guidelines are inseparable parts of these Terms.

18. Changes to the Terms

We reserve the right to modify these Terms of Service, including the Privacy Policy and Community Guidelines, at any time without notice. Users are required to read and accept the updated Terms posted on teamworker.ai/terms-of-service before they continue to use the Platform. By continuing to use the Platform after changes have been made, you agree to the revised Terms of Service. Previous versions of the Terms, Privacy Policy and/or Community Guidelines can be provided to the Users upon a request sent to [email protected].

19. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America.
